Grotberg Industries — Terms & Conditions
Effective Date: October 24, 2026
1. About These Terms
These Terms & Conditions apply to services and products provided by Grotberg Industries (“GI,” “we,” “us,” or “our”). By requesting a quote, placing an order, or purchasing our services, you (“Customer” or “you”) agree to the applicable terms.
Grotberg Industries provides custom manufacturing, CAD design, 3D printing, prototyping, and other technical services.
2. Quotes and Orders
All quotes are based on the information provided by the customer and the scope of work described in the quote. Quotes may change if project requirements, materials, quantities, specifications, or scope change.
An order is accepted once GI confirms the order and any required deposit or payment arrangements. Work outside the agreed scope may incur additional charges, which will be communicated to the customer for approval.
Estimated completion and delivery dates are provided in good faith but are not guaranteed unless expressly agreed to in writing.
3. Payment
Payment terms will be specified in the applicable quote, invoice, or written agreement.
Deposits, milestone payments, and final payments may be required depending on the project. Work may be paused or delivery withheld when payment is overdue, subject to applicable law and the agreed payment terms.
The customer is responsible for applicable taxes, shipping charges, and other costs identified in the quote or invoice.
4. Cancellations and Refunds
Customers should submit cancellation requests in writing.
If an order is canceled after work has started, the customer may be responsible for work completed, materials purchased, nonrecoverable costs, and other charges permitted by the applicable agreement and law.
Custom-made products and completed design work may not be eligible for a full refund simply because the customer changes their mind. However, nothing in this policy limits any refund, cancellation, or other rights required by applicable law.
If GI cannot complete an accepted order, GI will communicate with the customer to determine an appropriate resolution, which may include a refund for undelivered work or products.
5. Custom Design and Manufacturing
Custom parts, prototypes, and 3D-printed products are produced according to the specifications and requirements agreed upon for each project.
Manufacturing processes have inherent limitations. Minor variations in dimensions, surface finish, color, texture, appearance, and material properties may occur unless specific tolerances or acceptance criteria are agreed upon in writing.
Customers are responsible for reviewing and approving supplied drawings, dimensions, specifications, and other project requirements before production when approval is requested.
Unless expressly agreed otherwise, GI does not guarantee that a part or design will be suitable for a particular application.
6. Customer-Provided Designs and Materials
Customers are responsible for ensuring that they have the rights and permissions necessary to provide designs, files, images, drawings, models, or other materials to GI.
Customers must provide accurate specifications and disclose relevant operating conditions, loads, environmental conditions, safety requirements, and intended uses.
GI may decline work that is unlawful, unsafe, technically infeasible, or outside our capabilities.
7. Safety and Intended Use
Unless expressly designed, tested, and agreed upon for a particular application, GI's products, prototypes, and designs are not certified or represented as suitable for safety-critical applications.
Products and designs must not be used in life-support systems, medical applications, critical vehicle systems, load-bearing or lifting applications, pressure-containing systems, or other hazardous applications without appropriate engineering review, testing, and written approval.
The customer is responsible for evaluating the suitability of products and designs for their intended use, including any necessary inspection, testing, certification, and compliance with applicable regulations.
Nothing in this section excludes liability that cannot legally be excluded.
8. Intellectual Property
Ownership and permitted use of custom designs, CAD files, drawings, prototypes, and other project deliverables will be determined by the applicable quote or written agreement.
Unless otherwise agreed in writing, customers retain ownership of intellectual property they provide to GI. Customers grant GI permission to use those materials solely as reasonably necessary to perform the requested work.
GI retains ownership of its pre-existing tools, methods, templates, processes, and general know-how. Payment for a project does not automatically transfer ownership of every underlying design file, method, or reusable component.
Customers should confirm in writing whether final CAD files, editable source files, manufacturing drawings, or other digital deliverables are included in a project.
9. Inspection and Defects
Customers should inspect delivered products and notify GI promptly of any suspected defects, damage, or deviation from the agreed specifications.
Where a product or service does not conform to the agreed requirements, GI will review the issue and determine an appropriate remedy in accordance with the applicable agreement and law.
No provision of these Terms removes any non-waivable rights or remedies available to the customer under applicable law.
10. Shipping and Delivery
Delivery dates are estimates unless otherwise agreed in writing. GI is not responsible for delays caused by shipping carriers, suppliers, weather, customer delays, or other circumstances outside our reasonable control.
Customers should report shipping damage promptly and retain relevant packaging and photographs to assist with any carrier claim.
Risk of loss, shipping responsibilities, and any special delivery requirements will be determined by the applicable order terms and law.
11. Limitation of Liability
To the extent permitted by applicable law, GI will not be responsible for indirect, incidental, special, or consequential damages arising from a project, product, or service.
Any limitation on direct damages will be determined by the applicable written agreement and the maximum extent permitted by law.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot legally be excluded or limited.
12. Third-Party Products and Services
Projects may involve third-party materials, components, software, shipping providers, or other services. Third-party products and services may be subject to their own terms, warranties, and limitations.
GI does not independently guarantee third-party products beyond any commitments expressly made in writing or required by law.
13. Website Information
Information on this website is provided for general informational purposes. Product examples, images, project descriptions, and service listings are illustrative and may not represent the exact results achievable for every project.
A website inquiry or request for a quote does not constitute an accepted order or guarantee that GI can perform the requested work.
14. Privacy
Information submitted through this website or during a project will be used as reasonably necessary to respond to inquiries, provide quotes, fulfill orders, communicate with customers, and maintain business records.
GI will take reasonable steps to protect information under its control. Information may be shared with service providers when reasonably necessary to perform business operations or when required by law.
A separate Privacy Policy may provide additional details about information collection, use, retention, and disclosure.
15. Changes to These Terms
GI may update these Terms & Conditions from time to time. Updated terms will be posted on this website with a revised effective date.
Unless otherwise agreed in writing or required by law, the terms applicable to an accepted order will be those agreed upon for that order.
16. Governing Law
These Terms & Conditions are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute will be handled by a court or other forum with appropriate jurisdiction, subject to applicable law.
